7.1 Agreement
These Terms of Service (“Terms”) govern access to and use of the websites, applications, progressive web applications, dashboards, communications systems, Access Point services, delivery services, business services, software, artificial-intelligence-assisted functionality and other services made available by Dropo (“Dropo,” “we,” “us,” or “our”).
By creating an account, requesting or purchasing a service, accepting these Terms electronically, or otherwise using a service for which acceptance is required, the user agrees to these Terms and all applicable supplemental agreements and policies incorporated by reference.
Certain services are governed by additional terms.
If supplemental terms conflict with these Terms regarding a particular service, the supplemental terms control for that service.
7.2 Eligibility
Users must:
- be legally capable of entering into a binding agreement;
- provide accurate information;
- maintain current account information;
- protect account credentials;
- use Dropo only for lawful purposes.
Unless expressly authorized by Dropo, account holders must be at least 18 years old.
Organizations may use Dropo through authorized representatives.
A person accepting terms for an organization represents and warrants that the person has authority to bind that organization.
7.3 Dropo Platform
Dropo provides technology and operational services that may facilitate:
- delivery requests;
- transportation coordination;
- local freight;
- scheduled routes;
- package receiving;
- package holding;
- secure pickup;
- return handling;
- tracking;
- proof of delivery;
- communications;
- payments;
- partner operations;
- related logistics functions.
Availability varies by market, vehicle, location, package characteristics and service type.
Dropo does not guarantee that every service will be continuously available in every geographic area.
7.4 Independent Service Providers
Certain services may be performed by independent contractors, delivery persons, carriers, Access Point partners and other third parties.
Unless expressly stated otherwise, such parties are not authorized to make commitments on behalf of Dropo.
7.5 Accounts and Security
Users are responsible for:
- safeguarding login credentials;
- maintaining control of registered email addresses and phone numbers;
- preventing unauthorized account use;
- promptly reporting suspected compromise;
- maintaining accurate identity and contact information.
Dropo may require identity verification, phone verification, email verification, device verification or other reasonable security measures.
Dropo may suspend access when fraud, misuse, account compromise, safety risk or legal noncompliance is reasonably suspected.
7.6 Pricing
Prices may depend on factors including:
- distance;
- service type;
- vehicle type;
- shipment dimensions;
- weight;
- number of pieces;
- number of stops;
- waiting time;
- loading or unloading requirements;
- special handling;
- service area;
- demand;
- applicable fees;
- other disclosed pricing variables.
The price or estimate displayed before confirmation governs unless:
- information supplied by the customer was materially inaccurate;
- shipment conditions materially differ from what was represented;
- additional services are requested or required;
- waiting time or other accessorial charges apply.
Any additional charge must be supported by applicable pricing rules and operational records.
7.7 Payments
Users authorize Dropo and its payment service providers to process charges associated with requested services.
Users must provide valid payment information.
Dropo may:
- preauthorize payment;
- charge at confirmation;
- charge when service begins;
- charge applicable post-service adjustments;
- issue refunds or credits;
- collect overdue balances where permitted.
Payment timing depends on the service purchased.
Dropo does not store full payment-card credentials where payment processing is performed by a third-party payment processor.
7.8 Delivery Estimates
Pickup times, delivery times and estimated arrival times are estimates unless a written service agreement expressly states otherwise.
Actual times may be affected by:
- traffic;
- weather;
- road conditions;
- sender readiness;
- recipient availability;
- loading delays;
- security procedures;
- vehicle problems;
- governmental restrictions;
- events outside reasonable control.
7.9 Shipment Information
The shipper is responsible for providing accurate:
- addresses;
- contact information;
- package count;
- weight;
- dimensions;
- handling requirements;
- declared contents;
- access instructions;
- delivery requirements.
Dropo may adjust, refuse, suspend or cancel a service when information is materially inaccurate or the shipment cannot reasonably or lawfully be transported.
7.10 Prohibited Items
Users may not use Dropo for items prohibited by law or the Dropo Prohibited Items Policy.
The Prohibited Items Policy is incorporated into these Terms.
Dropo may refuse, isolate, return, surrender to authorities or otherwise appropriately handle prohibited or dangerous shipments where permitted or required by law.
7.11 Tracking and Location
Certain services may use location information to provide:
- pickup location;
- delivery location;
- driver location;
- estimated arrival;
- route information;
- location sharing;
- fraud prevention;
- safety;
- operational support.
Precise location features must operate only with required device permissions and applicable consent.
Users may revoke device-level location permissions, although some features may then be unavailable.
7.12 Proof of Delivery
Proof of delivery may include:
- timestamp;
- GPS/location information;
- recipient name;
- signature;
- photograph;
- QR scan;
- PIN verification;
- package status;
- delivery notes.
Users authorize collection and processing of such information to complete, verify and document services.
7.13 Access Points
Dropo may permit customers to direct eligible packages to participating Dropo Access Points.
An Access Point may:
- receive;
- scan;
- temporarily store;
- verify;
- release;
- return;
- hand off
eligible packages according to Dropo procedures.
Use of Access Points is also governed by the Access Point Customer Terms.
7.14 QR Codes and PINs
Pickup credentials are security credentials.
Users must not publicly disclose or transfer a QR code or PIN except to a person authorized to collect the package.
Dropo may require additional identification.
Possession of a PIN alone does not require Dropo or a partner to release a package where fraud or misuse is reasonably suspected.
7.15 Communications
Users agree that Dropo may send transactional communications relating to:
- accounts;
- security;
- orders;
- deliveries;
- payments;
- packages;

- delivery instructions;
- attachments;

Users must have authority to submit the content.
Users may not upload malware, unlawful material, infringing material or content intended to compromise the platform.
7.17 Welly and AI-Assisted Features
Dropo may provide artificial-intelligence-assisted functionality, including Welly.
AI outputs may be generated automatically and can contain inaccuracies.
AI functionality:
- does not replace official shipment status;
- does not modify authoritative account or shipment records unless an authorized system action separately occurs;
- does not provide legal, medical or financial advice;
- should not be relied upon for emergency situations.
Authoritative operational records control over AI-generated statements.
Users should not submit unnecessary sensitive personal information through AI features.

Where appropriate, users may receive notice and an opportunity to resolve the issue.

Dropo software, branding, interface elements, trademarks, logos, designs and proprietary materials belong to Dropo or its licensors.
No ownership rights transfer through use of the platform.
7.22 Disclaimers
Except as expressly provided in writing and to the maximum extent permitted by law, services are provided on an “as available” basis.
Dropo does not warrant uninterrupted availability or that every service will meet every particular business requirement.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
7.23 Limitation of Liability
To the maximum extent permitted by applicable law, Dropo will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages arising from use of the platform or services.
Liability relating to a shipment, package or commercial service may also be governed by applicable Shipper Terms, Claims Policy, Access Point Terms, declared value provisions or written enterprise agreements.
Nothing in these Terms limits liability that cannot legally be limited.
7.24 Indemnification
To the extent permitted by law, a user agrees to indemnify Dropo from third-party claims arising from:
- unlawful use of Dropo;
- prohibited shipments;
- material misrepresentation regarding a shipment;
- infringement caused by user-provided content;

These Terms do not impose mandatory arbitration. Any arbitration terms apply only where they are set out in a separate agreement that the user has expressly accepted.
