This agreement governs approved businesses operating Dropo Access Point locations.
12.1 Appointment
Dropo appoints Partner on a non-exclusive basis to operate approved locations as Dropo Access Points after:
- approval;
- training;
- setup;
- system activation;
- execution of required agreements.
No location may represent itself as active before Dropo activation.
12.2 Independent Businesses
Partner remains an independent business.
Nothing creates:
- employment;
- franchise;
- partnership;
- joint venture;
- agency authority to bind Dropo,
unless separately agreed in writing.
Use of Dropo branding is limited to the license expressly granted.
12.3 Partner Responsibilities
Partner must:
- receive eligible packages;
- inspect apparent condition;
- scan packages;
- match receiving identifiers;
- record check-in;
- store packages securely;
- maintain restricted access;
- verify pickup credentials;
- perform required ID checks;
- complete release events;
- handle approved returns;
- reconcile inventory;
- report incidents.
12.4 No Off-System Release
Partner must never release a package without completing the authorized Dropo release workflow.
Carrier “delivered” status alone is insufficient.
12.5 Security
Partner must maintain:
- controlled package storage;
- restricted staff access;
- reasonable physical security;
- trained personnel;
- device/account security;
- chain-of-custody records.
12.6 Staff
Partner is responsible for Partner personnel.
Only trained and authorized personnel may handle Dropo packages.
Partner must promptly revoke system access for personnel who leave employment or no longer require access.
12.7 Operating Hours
Partner must maintain accurate hours.
Partner must notify Dropo of:
- closures;
- holidays;
- emergency shutdown;
- material schedule changes.
12.8 Capacity
Partner must not intentionally accept package volume beyond configured storage or handling capacity.
12.9 Compensation
Partner compensation is governed by the then-current Dropo Access Point Partner Fee Schedule accepted by Partner.
12.10 Customer Fees
Partner may not independently impose unauthorized fees on Dropo customers for Dropo package services.
12.11 Customer Data
Partner may access customer data only as necessary to perform authorized Access Point operations.
Partner may not:
- market independently to Dropo customers using protected Dropo data;
- sell customer information;
- retain unnecessary identification copies;
- disclose package information;
- misuse pickup credentials.
12.12 Incident Reporting
Partner must promptly report:
- lost package;
- theft;
- unauthorized release;
- package damage;
- suspicious package;
- security incident;
- customer dispute;
- law-enforcement inquiry;
- privacy incident;
- injury;
- credential compromise.
12.13 Records and Audit
Dropo may review records reasonably related to:
- Dropo package handling;
- custody events;
- partner compensation;
- compliance;
- training;
- security incidents;
- capacity;
- service quality.
12.14 Insurance
Partner must maintain insurance requirements specified by Dropo’s active Partner Insurance Requirements.
12.15 Loss and Unauthorized Release
Responsibility for package loss, damage or unauthorized release will depend on:
- custody status;
- documented events;
- negligence;
- misconduct;
- contractual risk allocation;
- applicable law.
Partner may be responsible for losses resulting from Partner’s negligence, willful misconduct, unauthorized release or material failure to follow required security procedures, subject to the final approved agreement and applicable law.
12.16 Suspension
Dropo may immediately suspend a location for:
- security risk;
- repeated unauthorized release;
- theft/fraud;
- unsafe conditions;
- serious privacy violation;
- expired insurance where required;
- material contractual breach.
12.17 Termination
Upon termination:
- Dropo branding must be removed;
- system access must end;
- remaining packages must be reconciled;
- outstanding settlements must be processed;
- Dropo/customer data must be handled according to retention requirements.
